NGSPHERE VENDOR TERMS & CONDITIONS

1. PURPOSE

These Vendor Terms govern participation in the NGSPHERE marketplace as a vendor.

They supplement the general NGSPHERE Terms & Conditions.

Where there is a conflict concerning vendor activities, these Vendor Terms apply to the relevant vendor activity.

2. VENDOR ELIGIBILITY

A vendor must provide accurate registration and business information.

NGSPHERE may request information reasonably necessary for verification.

3. VENDOR VERIFICATION

NGSPHERE may verify vendors using appropriate business or identity information.

Verification does not constitute a guarantee of a vendor’s products or services.

4. VENDOR RESPONSIBILITIES

Vendors must:

Provide accurate listings;
Honour accepted orders;
Supply lawful products and services;
Maintain appropriate records;
Respond to customers reasonably;
Comply with applicable laws;
Respect customer privacy;
Avoid misleading claims;
Avoid counterfeit goods; and
Follow NGSPHERE marketplace rules.

5. PRODUCT LISTINGS

Listings must accurately describe:

Product/service;
Price;
Availability;
Important characteristics;
Applicable delivery information; and
Other material conditions.

6. PROHIBITED PRODUCTS

Vendors must not list products or services prohibited by law or NGSPHERE policy.

NGSPHERE may remove prohibited listings without prior notice where necessary.

7. CUSTOMER INFORMATION

Vendors may receive customer information necessary to fulfil orders.

Such information must be used only for legitimate transaction-related purposes.

Vendors must not:

Sell customer information;
Publish it;
Use it for unrelated marketing;
Share it unnecessarily;
Retain it indefinitely; or
Use it unlawfully.

8. DATA SECURITY

Vendors must take reasonable measures to protect customer information in their possession.

Suspected data breaches involving NGSPHERE customer information should be reported to NGSPHERE promptly.

9. PAYMENTS AND COMMISSIONS

Vendor payments, commissions, subscriptions, verification charges and other applicable fees shall be governed by the vendor fee schedule communicated by NGSPHERE.

NGSPHERE may deduct applicable commissions or charges from amounts payable to vendors where authorised under the marketplace arrangement.

10. ORDERS AND FULFILMENT

Vendors are responsible for fulfilling accepted orders accurately and within the stated timeframe.

Repeated failure to fulfil orders may result in account review or suspension.

11. RETURNS AND REFUNDS

Vendors must comply with NGSPHERE’s Refund, Returns & Cancellation Policy and applicable consumer-protection requirements.

12. CUSTOMER COMMUNICATION

Vendor communication with customers must remain professional and relevant to the transaction.

Vendors must not use customer information obtained through NGSPHERE to divert customers improperly from the platform or conduct unauthorised marketing.

13. REVIEWS

Vendors must not manipulate customer ratings or reviews.

14. INTELLECTUAL PROPERTY

Vendors must have the necessary rights to use images, descriptions, trademarks and other content submitted to NGSPHERE.

15. SUSPENSION

NGSPHERE may suspend or terminate a vendor account for:

Fraud;
Repeated customer complaints;
Misuse of customer information;
Prohibited products;
Failure to fulfil orders;
Misrepresentation;
Unlawful activity; or
Other serious violations.

16. VENDOR ACKNOWLEDGEMENT

By registering as a vendor, you acknowledge these Terms and the NGSPHERE Privacy Policy.
